War-game a data room before diligence starts

War-game a data room before diligence starts and soft tabs, missing exhibits, or conflicting numbers stall the deal.

Data rooms fail when the deck and the tabs disagree, when cohort definitions shift across files, when customer proof is logo theater, and when legal folders hide the one clause that flips valuation. A tidy folder tree is not evidence that the room survives a careful associate.

Freeze the pack

List the ask, the model version, the customer proof set, the legal folders that must be ready, and the questions you already know will arrive. Attach the deck, the latest model, cohort definitions, pipeline rules, and known disputes. If founder, finance, and counsel keep different "current" numbers, stop and pick one source of truth before the review.

Write the decision you will make if the war game finds nothing new. Write the delay criteria if a material gap appears: missing SOC reports, unresolved litigation, or churn math that does not reconcile.

Seats that flip diligence

  • Skeptical investor. Pass reasons, soft claims, concentration risk.
  • Diligence associate. Tab conflicts, definition drift, and missing exhibits.
  • Counsel. Contracts, IP, employment, and open disputes.
  • Operator. Capacity and delivery risk behind the growth story.
  • Customer voice. Which reference would refuse a call, and why.

Give every seat the same pack. Secret tabs for one seat create fake readiness.

Close the gaps

Feed Pingpong the index, deck, model, and known soft spots. First pass steelmans readiness. Later passes attack from investor, associate, counsel, and operator seats. Final pass turns surviving objections into a punch list with owners and dates. Delete invented logos, invented win rates, and invented competitor quotes.

Force a first-forty-eight-hours narrative: the ten questions that arrive after the first data dump, and which folder answers each one. If the answer is "we will gather that," it is not ready. It is a hope with a filename.

Reconcile cohort definitions across the deck, the model, and the CRM export before the associate finds the mismatch. Ask the diligence seat to list every metric that changes meaning when the date range or filter changes. Definition drift that only lives in a footnote still stalls the round.

Pair with war-game a fundraising deck, pretend you are the skeptical investor, before you raise, stress-test your deck, before you close the round, and the war-game decisions hub. Process: how it works.
